1. Introduction and Agreement to Terms

These Terms and Conditions ("Terms") constitute a binding legal agreement between you and USPORT.AI INC ("uSport.ai," "we," "us," or "our") governing your access to and use of the uSport.ai website, mobile application, and related services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree, do not use the Service.

2. Definitions

• "Service" means the uSport.ai platform, including all software, AI tools, databases, and functionality.
• "User" means any individual using the Service, including Athletes, Parents/Guardians, and Coaches.
• "Athlete" means a student-athlete using the Service for college sports recruitment.
• "Parent/Guardian" means a parent or legal guardian managing an account on behalf of a minor.
• "Coach" means a college athletic coach or recruiting coordinator.
• "User Content" means any content you upload, submit, or transmit through the Service, including profiles, emails, videos, and documents.
• "Third-Party Services" means external platforms integrated with the Service, including Gmail and Microsoft Outlook.
• "AI Features" means artificial intelligence-powered tools provided through the Service, including email generation, reply analysis, and task suggestions.

3. Eligibility and Use by Minors

The Service is intended for users aged thirteen (13) and older. Users under thirteen (13) may not create an account or provide personal information. A Parent or Guardian may create and operate an account on behalf of a child under thirteen (13).

If you are under eighteen (18), you represent that your parent or legal guardian has consented to these Terms and to your use of the Service. By permitting a minor to use the Service, the parent or guardian agrees to these Terms on the minor's behalf and accepts responsibility for the minor's use of the Service, including all communications and content. It is important for parents to understand that they are ultimately responsible for their child's use of uSport.ai and should be actively involved in monitoring their child's activities on the platform.

We may request proof of parental consent or age verification and may immediately terminate any account created in violation of these requirements.

4. Account Registration and Security

To access the Service, you must create an account with accurate and complete information. You must maintain the security of your credentials and promptly notify us of any unauthorized access. You are responsible for all activity under your account.

We may suspend or terminate your account at any time for violation of these Terms, fraudulent or illegal activity, security risks, failure to pay fees, or extended inactivity.

5. Description of the Service

uSport.ai provides tools to assist student-athletes with college sports recruiting, including school discovery and matching, access to a database of college coach contacts across NCAA, NAIA, and NJCAA divisions, AI-powered email composition and analysis, recruiting task management, and integration with Third-Party Services.

The Service does not guarantee any recruiting outcomes. We do not promise or warrant college admission, athletic scholarships, roster spots, coach responses or interest, compliance with athletic association eligibility rules, or success in the recruiting process. Recruiting outcomes depend on factors beyond our control, including athletic ability, academic qualifications, coach preferences, program budgets, and institutional decisions.

Coach contact information, school data, and other content provided through the Service may change, become outdated, or contain inaccuracies. We do not guarantee the accuracy, completeness, or reliability of any data or information. You are responsible for conducting your own research, verifying information, ensuring compliance with recruiting rules, and making informed decisions.

6. AI-Generated Content and User Responsibility

The Service includes AI Features that generate draft emails, analyze coach replies, suggest tasks, and provide recruiting recommendations. AI-generated content is provided "as is" and may contain errors, inaccuracies, or inappropriate language. AI outputs are not professional advice, may not be unique, and may be similar to content generated for other users.

You must review and approve all AI-generated content before using or sending it. You are solely responsible for all communications sent to coaches or other parties, whether drafted by you, generated by AI, or a combination thereof. By sending a communication, you represent that you have reviewed and approved it and accept full responsibility for its accuracy, appropriateness, and consequences. We are not responsible for coach responses, lack of responses, or negative reactions.

7. User Content and License

While you retain ownership of your User Content, by uploading or transmitting it through the Service, you grant us a limited, worldwide, non-exclusive, royalty-free, transferable, sublicensable license. This license allows us to use, reproduce, store, modify, display, and distribute your User Content solely to operate, maintain, improve, and provide the Service, and to share your content with coaches when you direct us to do so.

This license continues for a commercially reasonable period after deletion to allow for backup retention and legal compliance.

You represent and warrant that you own or have all necessary rights to your User Content, that it does not infringe third-party rights, and that it complies with all applicable laws. You may not upload content that infringes intellectual property rights, violates any law, is fraudulent or defamatory, or contains malicious code.

We may monitor, review, or remove User Content that violates these Terms without prior notice.

8. Prohibited Uses

You may not:

• Scrape, harvest, or collect coach contact information or data for resale, redistribution, or any purpose other than your personal recruiting activities.
• Use the coach's contact information to build or enhance a competing product or service.
• Share the coach's contact information with unauthorized third parties.
• Reverse engineer, decompile, or attempt to derive source code or algorithms from the Service.
• Bypass security features or use automated means to access the Service without authorization.
• Introduce viruses, malware, or other harmful code.
• Send spam, unsolicited communications, or abusive messages to coaches.
• Harass, threaten, or impersonate any person.
• Use the Service for illegal purposes or in violation of athletic association rules.
• Create multiple accounts to evade suspension.
• Copy, reproduce, or replicate the Service's features or user interface.

The prohibition on misuse of coach contact information and competitive use survives termination of these Terms.

9. Third-Party Services and Integrations

You may optionally connect Third-Party Services such as Gmail or Microsoft Outlook. Your use of Third-Party Services is subject to their terms and privacy policies. You are solely responsible for your relationship with third-party providers.

By connecting a Third-Party Service, you authorize us to access and use data from that service as necessary to provide integrated functionality. You may revoke this authorization by disconnecting the integration.

We do not control Third-Party Services and are not liable if a third party changes its API, discontinues functionality, experiences downtime, or revokes access. We may disable integrations that create security or policy risks.

10. Paid Plans and Billing

Paid subscriptions provide access to premium features as described on our pricing page. Fees are charged in advance on a recurring basis and billed automatically to your payment method.

Paid subscriptions automatically renew at the end of each billing period unless you cancel before renewal. You authorize us to charge renewal fees unless you cancel before the next billing date.

You must provide accurate billing information. If payment fails, we may suspend access to paid features. We may modify pricing at any time with at least thirty (30) days' notice to active subscribers. Price changes take effect at the next renewal period.

All fees are non-refundable except as required by applicable law. We do not provide refunds for partial periods, unused features, dissatisfaction, or termination due to a violation of these Terms. If you cancel, you retain access through the end of your current billing period.

You are responsible for all applicable taxes except those based on our net income.

11. Intellectual Property

The Service, including all software, databases, user interfaces, content (excluding User Content), trademarks, and the compilation of coach contact information, is owned by uSport.ai and protected by U.S. and international intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial recruiting purposes. You may not copy, modify, create derivative works from, distribute, license, sell, or transfer any portion of the Service, or remove proprietary notices.

If you provide feedback or suggestions regarding the Service, you grant us an unlimited, perpetual, royalty-free license to use and incorporate such feedback without obligation to you.

12. Disclaimers and No Guarantees

We do not guarantee recruiting outcomes, including athletic scholarships, college admission, roster positions, coach responses, or compliance with eligibility rules. We do not control coach decisions, school policies, program budgets, or athletic association rules.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted or error-free operation. We do not warrant that defects will be corrected or that the Service will meet your requirements.

The Service does not provide professional advice. Content and recommendations are for informational purposes only. You should consult qualified professionals regarding recruiting, academic, athletic, and legal matters.

We may modify, suspend, or discontinue any aspect of the Service at any time without liability.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST RECRUITING OPPORTUNITIES, LOSS OF DATA, COST OF SUBSTITUTE SERVICES, OR EMOTIONAL DISTRESS, REGARDLESS OF LEGAL THEORY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow certain limitations, so these may not fully apply to you. In such cases, liability will be limited to the greatest extent permitted by law. You acknowledge that we have set pricing and entered into these Terms in reliance on these limitations, which reflect a reasonable allocation of risk and form an essential basis of our agreement.

14. Indemnification

You agree to indemnify, defend, and hold harmless uSport.ai and its affiliates, officers, directors, employees, and agents from all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your User Content, including any AI-generated content you approve or send.
• Your use or misuse of the Service.
• Your violation of these Terms or any law.
• Your violation of third-party rights.
• Your communications with coaches or other parties.
• Your misuse of the coach contact information or data obtained through the Service.

We may assume exclusive defense and control of any matter subject to your indemnification, and you agree to cooperate with our defense. You may not settle any claim without our prior written consent.

15. Termination

You may stop using the Service at any time. If you cancel a paid subscription, your subscription will end at the end of your current billing period, without a refund.

We may suspend or terminate your access immediately for violation of these Terms, fraudulent or harmful conduct, misuse of coach databases, security risks, chargebacks, or other reasons. Upon termination, your right to use the Service ceases; we may delete your account and User Content, and all licenses terminate. You remain obligated to pay outstanding fees. You will not receive a refund if we terminate your account for cause.

The following provisions survive termination: User Content and License (for existing licenses), Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and any provisions that, by their nature, should survive.

16. Changes to the Service and Terms

We may modify, suspend, or discontinue the Service or any feature at any time without liability. We may update these Terms at any time by posting revised Terms with an updated Effective Date. For material changes, we will provide notice through the Service or via email.

Your continued use of the Service after revised Terms take effect constitutes acceptance. If you disagree, you must stop using the Service. You are responsible for reviewing these Terms periodically.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any legal action must be brought exclusively in the federal or state courts located in Delaware, and you consent to the jurisdiction and venue of such courts.

Before filing a legal claim, you agree to contact us at admin@usport.ai and attempt informal resolution for sixty (60) days.

To the extent permitted by law, any dispute will be conducted only on an individual basis, not in a class, consolidated, or representative action. You waive any right to participate in a class action.

Any claim must be filed within one (1) year after it arose, or it is permanently barred. We may seek injunctive relief in any court to protect our intellectual property rights.

18. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and uSport.ai and supersede all prior agreements. If any provision is invalid or unenforceable, the remaining provisions remain in effect. No waiver of any provision constitutes a continuing waiver. Our failure to enforce any right does not constitute a waiver.

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any agency, partnership, employment, or franchise relationship. We are not liable for failure to perform due to causes beyond our reasonable control.

Notices to you may be provided via email or through the Service and are deemed given twenty-four (24) hours after being sent or posted. Notices to us should be sent to admin@usport.ai or USPORT.AI INC, 6207 S West Shore Blvd, Tampa, FL 33616, United States of America. You agree to comply with all applicable export control laws. Section headings are for convenience only. If these Terms are translated, the English version controls. By using the Service, you consent to electronic communications from us.
